July 2019 Page 1 of 3 MUTUAL NON -DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement (“this Agreement”) is effective as of day of November , 2021
(“Effective Date”), by and between FirsyLayerAI, dba Medallion, a Delaware corporation , with offices at 2261 Market Street, #4084 , San Francisco, C alifornia 94114 (“Company”) and SimplePractice, LLC , a California Limited
Liability Company, with offices at 2834 Colorado Ave., Suite 200, San ta Monica, CA 90404 (“SimplePractice”). Each
of the Company and SimplePractice are referred to herein as a “Party” and together, the “Parties .”

WITNESSETH:

WHEREAS , SimplePractice and Company desire to exchange certain information which may include, but
may not be limited to, the existing and proposed product, pricing technical, developmental, design, architecture and/
or methodology expertise, materials and information, financial, marketing, managerial and other aspects of, and
information pertaining to, the Parties and/or their affiliates for the purpose of potential joint pursuit of a business
relationship (hereafter, the “Purpose”); and

WHEREAS , as a condition to the furnishing of such information, SimplePractice and Company are requiring that both Parties agree, as set forth below, to treat confidentially such information and any other information (collectively, the “Confidential Information”) furnished to the other or its employees. For purposes of this Agreement, the Party providing Confidential Information shall be designated “Disclosing Party” and the Party obtaining
Confidential Information shall be designated the “Receiving Party.”

NOW THEREFORE , for other good and valuable consideration and promises made herein, the Parties agree
as follows:
